Dr. Miha Juhart, a legal expert specializing in civil and economic law from Ljubljana’s Faculty of Law, has called the maneuver by Roko Snežič and Borisa Mijič a “complete nonsense.” The situation involves a dispute over the management and ownership of the company Progros, which was recently renamed Klukec, a business focused on camel breeding. According to reports, Snežič, who previously worked under the Ministry of Labour, allegedly took over the company free of charge from parliamentarian Borisa Mijič, with plans to transfer control to another figure within days. This move has sparked controversy among legal experts and stakeholders. The incident unfolded after Snežič revealed earlier this week that he had taken over Progros without payment from Mijič, who is reportedly owed 2,489 euros for legal costs. Snežič claimed he would remain the sole owner temporarily before passing control to Luka Mesec, a representative of the Left Party, who holds authority over his assets. However, according to Juhart, such a transfer does not constitute a valid enforcement action. He explained that enforcement requires selling the debtor's assets, not merely transferring them. If Mesec were to initiate enforcement, the shares held by Snežič would need to be sold, allowing Mesec to recover his debt. In response to questions about the implications for the company, Juhart stated that the director must assess the financial condition of the firm based on available information. Given the current state of affairs, it is likely that the director will recommend initiating insolvency proceedings. The owner, Snežič, would then be required to provide additional capital, otherwise the company could face liquidation. Insolvency procedures can be initiated either by the director or by creditors, including unpaid workers, suppliers, and the state. The situation has drawn attention due to the involvement of several parties, including the former director of Progros, who is also a member of parliament. Mijič, who previously served as a parliamentarian, has been accused of misrepresenting his educational background. His son, Miladin Mijič, was replaced by Admir Kamerić, who resides in the village of Dubnica in Bosnia and Herzegovina. Kamerić, who assumed the role of permanent resident, has since become the new director of the company. Legal experts warn that if the company fails to meet its obligations, the consequences could extend beyond mere financial loss. Delinquencies include unpaid wages to employees exceeding 10,000 euros, uncollected taxes and contributions to the Financial Administration of Slovenia (Furs) totaling more than 30,000 euros, and outstanding debts to cooperative partners. These issues have raised concerns about potential legal actions against Mijič, including possible criminal charges. Juhart emphasized that the recent transfer of Progros to Klukec represents a provocative act, not uncommon in Slovenian history. He described the scenario as a serious conflict involving individuals who have not been paid for their work, suggesting that some are exploiting the situation for personal gain. He referred to the case as a tragedy, highlighting the broader implications for affected parties. As the situation develops, the outcome will depend largely on whether the company’s director takes appropriate steps to address the financial crisis. Without intervention, the possibility of insolvency remains high, potentially leading to the dissolution of the enterprise and further legal repercussions for all involved.
