Đedović Handanović: Serbia and Mol reach a compromise on the NIS

Serbian Minister of Energy Dubravka Đedović Handanović announced that Serbia and Hungary's MOL have reached a compromise regarding the shareholder agreement between Serbia and MOL concerning Nafta Industrija Srbije (NIS). Vlast u Srbiji ne bi trebalo da uslovljava mađarsku kompaniju MOL obavezom rada NIS-ove rafinerije, kao ni bilo kojim drugim poslovnim potezom, izjavio je danas glavni broker Momentuma Nenad Gujaničić. On je za agenciju Beta rekao da nijedan investitor neće dozvoliti takvo uslovljavanje zbog koga bi u budućnosti mogao da trpi gubitke.

"Nije dobro uslovljavati MOL da, ako kupi od Gasproma kontrolni paket akcija u NIS-u, mora da održi proizvodnju u rafineriji za preradu nafte, kao ni drugim poslovnim potezima. Pogrešna je interpretacija u javnosti da je to uslovljavanje moguće", rekao je Gujaničić , povodom tvrdnji ministarke rudarstva i energetike Srbije Dubravke Đedović Handanović koja je nameru da MOL zatvori rafineriju u Pančevu nazvala crvenom linijom čiji prelazak Srbija neće dozvoliti.

Dodao je da Srbija nema nikakvu ulogu u kupoprodaji kontrolnog paketa akcija u NIS-u, pa i nije "kamen spoticanja" u pregovorima, što se često može čuti u javnosti.

Glavni problem je što ta ruska kompanija "nije voljna da proda svoj paket akcija, pa odugovlači u iščekivanju promene geopolitičke situacije iz prostog razloga jer nije dobrovoljno ni ušla u proces prodaje", rekao je Gujaničić.

Predstavnici vlasti u Srbiji, prema njegovim rečima, žele da stvore sliku kako su oni glavni učesnik u pregovorima i da bez njih ne može da se sprovede ta transakcija, što je, kako je rekao, "kriva slika".

Istakao je da nijedan investitor ne želi da prihvati obaveze koje mogu da se kose sa tržišnim uslovima.

"Potencijalni kupac NIS -a, kupovinom kontrolnog paketa akcija preuzima imovinu i obaveze kompanije, a dodatne obaveze koje se kose sa tržišnim uslovima niko nije voljan da prihvati", rekao je Gujaničić.

Javnost ne zna šta se dešava u pregovorima Gasproma i MOL-a, osim da srpska strana ima nekakve "crvene linije", naveo je on

"Mislim da je to posledica činjenice da je običan građanin spoznao da srpska strana nije uključena u pregovore i nije bitna u čitavom postupku, te ona sada nastaoji da ostavi utisak da su državni predstavnici prisutni u pregovorima, te da sebi daju za pravo da postavljaju ograničenja koja ne bi prihvatio ni jedan strani investitor", rekao je Gujaničić.

Upitao je, zašto, ako je to moguće, vlast nije Kinezima u RTB Boru postavila nekakve uslove ili nekim drugim stranim investitorima kojima daje subvencije, "što bi po toj logici bilo prirodnije".

To je nezamislivo čak i uslovima subvencija, a da se ne govori o normalnim tržišnim uslovima, ocenio je ovaj stručnjak.

"Što nisu Gaspromu, kada je kupio NIS, rekli da mora da zadrži rafineriju NIS-a u Novom Sadu. Zatvorena je, navedeno je da tu ima puno zaostalih bombi od bombardovanja NATO iz 1999. i šta se dogodilo? Rafinerija je najpre trebalo da radi sa drugom namenom, a kasnije je nestala sa mape", naveo je Gujaničić.

Dodao je da u krajnjoj liniji nije isključeno ni da se investitorima postavljaju uslovi, ali onda oni neće ni dolaziti, ili će cena dolaska biti visoka.

"Da li će kupac NIS-a zadržati Rafineriju, Petrohemiju... koji posluju u okviru kompanije? Hoće ako imaju interes, ako nemaju zašto bi dolazili", rekao je Gujaničić.

Naglasio je da ima mnogo malih zemalja, poput Srbije koje nemaju rafineriju za preradu sirove nafte i "to ne predstavlja katastrofu", jer postoje drugi načini kako obezbediti energetsku stabilnost.

Može se dogoditi, kako je naveo, i da neka zemlja poseduje pet rafinerija, a da nema stabilno snabdevanje energentima.

"Dakle, Srbija ima modernu rafineriju i odlično je što je to tako, ali ona sama po sebi ne mora biti neminovnost u nekim drugim uslovima na tržištu", istakao je Gujaničić.

Srbija, kako je rekao, nema značajne izvore sirove nafte, a postojeći su dobro iscrpljeni da bi rafinerija radila mahom prerađujući naftu iz domaćih izvora.

"Ako MOL, kao potencijalni kupac NIS-a i prihvati takvo uslovljavanje države, taj zahtev će na kraju mnogo skuplje izaći nego da je poštovan običan tržišni princip", rekao je Gujaničić.

Istakao je da je potpuni nonsens priča da će Srbija kupiti dodatnih pet odsto akcija u NIS-u, na sadašnjih 29,87 odsto, čime će navodno kontrolisati poslovanje NIS-a. "Sa 35 odsto akcija se ne može uraditi ništa više nego sa 30 odsto, pa će Mađari, ako kupe udeo u NIS-u, verovatno to dozvoliti jer kao većinski vlasnici mogu da rade šta hoće", objasnio je on.

Na pitanje da li će Gasprom i MOL uskoro privesti pregovore kraju Gujaničić je rekao da ne zna, ali da je činjenica da od 19. januara, kada je potpisan preliminarni ugovor dve kompanije, sve što je usledilo nije izgledalo kao da se vode neki kupoprodajni pregovori, jer je nastala ogromna tišina, koja nije uobičajena kada se preuzima velika kompanija.

Ono što je, prema njegovim rečima, Srbija mogla da uradi jeste da donese regulatorni okvir koji će predvideti šta država radi ako NIS "upadne" u situaciju kao prošle godine da ne može operativno da radi jer nije dobio licencu američke Kancelarije za kontrolu strane imovine (OFAK).
