The European Commission has approved the acquisition of Warner Bros. Discovery by Paramount under specific conditions, focusing primarily on film distribution in Europe. The deal, valued at approximately $111 billion, involves the transfer of control over Warner Bros. and its subsidiaries, including the streaming platforms Paramount+ and Max, as well as the news network CNN. The approval comes after extensive scrutiny by Brussels-based competition authorities, who assessed the potential impact on market dynamics within the European Union. The decision follows months of regulatory review and legal challenges. While the U.S. government granted the merger without restrictions in June, twelve U.S. states filed a lawsuit arguing that the consolidation would distort competition and harm consumers through higher prices, reduced quality, and fewer content options. A federal judge in California temporarily blocked the transaction, citing concerns over market concentration and consumer welfare. However, negotiations continue regarding a long-term injunction against the deal’s implementation. Under the terms of the European Commission’s approval, Paramount must divest its stake in United International Pictures (UIP), a joint venture with Universal Pictures responsible for distributing films to cinemas across the European Economic Area. This requirement aims to prevent the merged entity from leveraging combined influence over film distribution, which could disadvantage independent exhibitors and ultimately affect consumers. The divestiture must occur within 13 months following the completion of the transaction. Additionally, Paramount is prohibited from entering into agreements with Universal for co-distribution of films in Europe for the next decade. An independent trustee will oversee compliance with these obligations. United International Pictures, based in London, was established in 1981 and manages the licensing of more than 1,000 films globally, including over 100 Academy Award-winning titles such as The Godfather and Breakfast at Tiffany's. Although Universal Pictures and Paramount Pictures have operated separately in certain markets, such as Germany, through their own distribution entities, the EU raised concerns about the potential monopolistic effects of combining their resources via UIP. The ownership structure behind Paramount includes the family of Larry Ellison, a billionaire software magnate and longtime supporter of former President Donald Trump. Critics in the United States worry that the integration of CNN under Paramount’s umbrella might compromise the network’s editorial independence, particularly given the political affiliations of the Ellison family. These concerns add another layer of complexity to the ongoing legal battles surrounding the merger. The merger originally gained momentum in February when Warner Bros. Discovery and Paramount signed the agreement, following Netflix’s withdrawal from the bidding process. Shareholders later approved the deal in late April. Despite the European Commission’s conditional approval, the U.S. states remain determined to challenge the merger, emphasizing the need for robust antitrust protections in media and entertainment industries. As discussions continue, the outcome of this case may set a precedent for future cross-border mergers involving major global players in the sector.
